Vendor Terms and Conditions


These Vendor Terms and Conditions (“Agreement”) govern your use of the Kerie marketplace platform (“Kerie,” “we,” “our,” or “us”) as a registered seller (“Vendor,” “Seller,” “you,” or “your”). By creating a vendor account or listing products on the Platform, you agree to comply with these terms.

1. Eligibility to Sell

  • You must be at least 18 years old to register as a vendor.

  • Sellers under 18 must provide verified parental or legal guardian consent.

  • You must provide accurate, complete, and updated business information.

  • Kerie reserves the right to approve, suspend, or reject any vendor account.

2. Products and Listings

  • You may list physical or digital goods that comply with local and international laws.

  • Listings must include accurate product descriptions, pricing, and availability.

  • You may not list prohibited items such as counterfeit goods, weapons, illegal items, or adult content.

  • Kerie may remove listings or restrict your account if items violate community standards or policies.

3. Purchases

If a buyer purchases any product or service made available through the Platform ("Purchase"), they may be asked to supply certain information relevant to the transaction, such as name, email, shipping address, and payment details.
You, as a vendor, are responsible for:

  • Fulfilling orders in a timely and accurate manner

  • Protecting customer data from misuse

  • Handling product disputes, exchanges, or refunds as needed

4. Fees and Commissions

  • During the launch phase, Kerie offers 0% commission to early-access sellers.

  • After this phase, a standard commission fee (typically 5–15%) will apply per successful sale.

  • Optional paid features such as boosted listings, homepage placements, or banner ads may be charged separately.

  • You will be notified in advance of any changes to fee structures.

5. Payments and Payouts

  • Payments are securely processed via third-party providers (e.g., Maya, GCash, Stripe).

  • Vendors must meet the minimum payout threshold and follow the set payout schedule (e.g., weekly).

  • Kerie reserves the right to delay or hold payouts in cases of refund claims, chargebacks, fraud, or policy violations.

  • All vendors are responsible for their own taxes, legal registrations, and financial records.

6. Order Fulfillment and Customer Service

  • Vendors must fulfill orders within the stated timeline.

  • Delays or repeated complaints may lead to account warnings or suspension.

  • Vendors are expected to respond to customer inquiries via in-app messaging within a reasonable timeframe.

  • Kerie reserves the right to intervene in customer disputes if unresolved.

7. Content

The Platform allows you to post, upload, and share content such as product images, descriptions, videos, and digital files (“Content”).
You are solely responsible for the content you provide and agree that:

  • Your content is accurate, lawful, and not misleading

  • You have full rights or licenses to use the content

  • Content does not infringe on any third-party rights or violate laws

Kerie reserves the right to edit, remove, or restrict any content that violates our standards or receives valid complaints.

8. Intellectual Property

  • You retain ownership of your original product designs and content.

  • By using the Platform, you grant Kerie a non-exclusive license to use, display, promote, and distribute your listings.

  • You may not use copyrighted or trademarked materials without proper authorization.

  • Violations may result in legal action or permanent account termination.

9. Use of Buyer Information

  • You may use buyer information solely to fulfill and manage orders.

  • You may not collect or store payment details, share buyer information outside the platform, or use it for marketing unless explicitly permitted.

  • You must comply with the Philippine Data Privacy Act (RA 10173).

10. Minor Sellers (Under 18)

Minors may register only with:

  • Written and signed parental or guardian consent

  • Verified government-issued IDs of both minor and guardian

  • Guardian-controlled payout account

Kerie reserves the right to restrict features or reject minor seller accounts for compliance and safety purposes.

11. Liability and Indemnity

  • You agree to hold Kerie harmless from any claims, liabilities, or damages resulting from your listings, transactions, or content.

  • Kerie is not liable for product quality, delivery issues, or disputes between vendors and buyers.

  • You are responsible for your obligations under local law, including consumer protection, taxes, and business licensing.

12. Account Suspension and Termination

Your account may be suspended or terminated if:

  • You violate these terms or community standards

  • You receive repeated complaints or refund disputes

  • You engage in illegal, abusive, or fraudulent activities

Kerie reserves the right to withhold earnings during investigation or final settlements.

13. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Vendor Terms at any time.
If a revision is material, we will provide at least 30 days' notice prior to its effectivity.
What constitutes a material change will be determined by us. Continued use of the platform after updates means you agree to the new terms.

14. Governing Law

These Terms are governed by and interpreted under the laws of the Republic of the Philippines. Any legal claims or disputes must be filed in the courts.
